Citizens Bank Names New Directors

Nevada City, California, November 8, 2005. Ken Baker, Chairman of the Board of Citizens Bancorp (the “Company”) (OTC Bulletin Board: CZNB) announced today that two long-time Nevada County business owners have been appointed to fill vacancies created by the retirement of two members from the Boards of Directors of Citizens Bancorp and its subsidiary, Citizens Bank of Nevada County. Effective January 1, 2006, Wyn Spiller, Chairman/CEO of N.C.W. G., Inc. dba Nevada City Winery, and David Giacomini, owner and President of Sierra Mountain Mortgage, a loan brokerage company in Truckee, will become directors of both Companies to serve until the next annual meeting of shareholders which is set for May 16, 2006.

“Both Wyn and Dave are well established, respected business people in our community” said Chairman Ken Baker. He added, “their business experience and success is consistent with the ability and commitment of our continuing board members and those members who have served us in the past. We look forward to the contributions that these new board members will bring to us as we guide our Bank into its next decade.”

A 27-year resident of Nevada County, Wyn Spiller holds a B.A. Degree in Psychology from Louisiana State University. Her diverse career spans 3 years in teaching, 10 years in retail ownership and 15 years with Nevada City Winery. Wyn’s deep commitment to our community is highlighted by her service to Rotary where she is the current District 5190 Assistant District Governor. She is the immediate Past Chairperson of the Nevada County Economic Resource Council and the current President of the Sierra Nevada Memorial Hospital Foundation. Wyn also served as a Past President and Trustee of the Nevada City School Board and a Past President of Foothill Theatre Company.

David Giacomini holds a B.S. Degree in Business Administration from the University of Southern California. His 24-year career in the financial industry includes managing roles with the former Truckee River Bank both at the Branch Manager level and as President of Sierra Tahoe Mortgage, a division of the bank. Dave has been President of Sierra Mountain Mortgage since 1992. His commitment to the Truckee area is highlighted by service to the Truckee River Watershed Council where he is a director elect and Past President of the Truckee Donner Chamber of Commerce. Dave is a member of the Truckee Downtown Merchants Association, the Contractors Association of Truckee and volunteers with the Tahoe Adaptive Ski School.

Founded in February 1995, Citizens Bank, headquartered in Nevada City, became a wholly owned subsidiary of the Company in 2003. The Bank has five branches: one in Nevada City, two in Grass Valley, one in Penn Valley, and its newest branch in Lake of the Pines in southern Nevada County.
